Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Northern Catalyst website (northerncatalyst.ca) and products, including Meeting Notes Pro (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Services.

Description of Services

Northern Catalyst provides:

• Meeting Notes Pro: A desktop application that helps financial advisors transform meeting transcripts into structured client notes using AI, with local PII processing for enhanced privacy
• AI Office Hours: Educational sessions and resources about AI for financial advisors
• Newsletter: Email communications with AI tips and insights for Canadian financial advisors

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent that you meet these requirements.

Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any information that changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Meeting Notes Pro: Specific Terms

License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use Meeting Notes Pro for your professional use as a financial advisor.

Subscription and Billing

• Meeting Notes Pro is offered on a subscription basis. Current pricing is available on our product page
• Subscriptions renew automatically unless cancelled before the renewal date
• Payment is processed securely through Stripe
• You may cancel your subscription at any time through your account settings or by contacting us
• Refunds are handled on a case-by-case basis at our discretion

Your Responsibilities

• You are responsible for ensuring your use of Meeting Notes Pro complies with applicable regulations, including PIPEDA and any industry-specific requirements
• You are responsible for obtaining any necessary consents from clients for recording and processing meeting content
• You are responsible for reviewing and verifying AI-generated output before using it in client communications or records

AI-Generated Content

Meeting Notes Pro uses AI to generate meeting summaries and notes. You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing all output before use in professional contexts
• AI output should not be considered professional advice and does not replace your professional judgment

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Share your account credentials with others
• Resell or redistribute the Services without authorization

Intellectual Property

The Services, including all content, features, and functionality, are owned by Northern Catalyst and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you input into our Services (such as meeting transcripts). We do not claim any ownership rights over your content.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

While we design our products with privacy and security in mind, we cannot guarantee absolute security. You use the Services at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHERN CATALYST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Northern Catalyst and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Ontario.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
